Terms of Use

1. Parties and Definitions

This Terms of Use (the "Agreement") is made between ProcuSale Bilgi Teknolojileri Ticaret Anonim Şirketi ("ProcuSale"), located at Akdeniz Mahallesi, Cumhuriyet Bulvarı, No: 120, Konak, İzmir, Türkiye, and the natural or legal person ("User") benefiting from the services via procusale.com and app.procusale.com (the "Platform").

"Service" means the digital services provided by ProcuSale via the Platform, including aggregation, search, filtering, smart matching and notifications for public and private tender opportunities. "Content" means any listing, request for proposal, description, document and similar material uploaded to the Platform by Users.

2. Subject and Scope

This Agreement sets out the conditions under which the User benefits from the Platform and the mutual rights and obligations of the parties. By registering for or using the Platform, the User declares that they have read and accepted this Agreement, the Privacy Policy and other rules published on the Platform.

3. Description of the Service

ProcuSale provides an electronic platform service that aggregates information on tender and procurement opportunities in a single interface and offers search and matching tools. ProcuSale is not a party, intermediary, surety or guarantor of the listings and is not responsible for their content or for the conduct of tender processes.

ProcuSale reserves the right to modify, update or discontinue certain features of the Service upon prior notice, in order to improve its scope, features and technical infrastructure.

4. Membership and Account Security

The User warrants that the information provided at registration is accurate, current and complete. The User is responsible for the confidentiality of their account credentials (username, password) and for all transactions carried out through their account.

The User must immediately notify ProcuSale at info@procusale.com upon becoming aware of any unauthorized use of their account.

5. User Obligations

The User agrees to use the Platform in accordance with applicable law, this Agreement and rules of good faith. In particular, the User shall refrain from:

• Publishing misleading, unlawful content, or content that infringes third-party rights or is untrue,
• Using software or actions that jeopardize the security of the Platform or disrupt service continuity,
• Collecting or copying data on the Platform through automated means (bots, scrapers, etc.) without authorization,
• Using another user’s account without permission or attempting to obtain their credentials.

6. Content and Responsibility

Responsibility for the accuracy, currency, legality and non-infringement of third-party rights of User-generated Content lies entirely with the User who created it. ProcuSale is not the owner or a party to User Content and merely provides an electronic platform service.

ProcuSale reserves the right to remove Content it determines to be unlawful or in breach of this Agreement without prior notice, and to suspend the relevant account where necessary.

7. Intellectual Property Rights

The design, software, interface, brand, logo of the Platform and all content produced by ProcuSale belong to ProcuSale and are protected by intellectual property law. The User may not copy, reproduce or use these elements for commercial purposes without ProcuSale’s written consent.

8. Pricing and Payment

Certain features of the Platform are offered under paid subscription and usage packages. Current package scopes and prices (VAT included) are shown at checkout on app.procusale.com.

Payments are collected securely via the licensed payment institution iyzico; ProcuSale does not store card details. Sale, delivery and refund terms are separately set out on the Distance Sales Agreement and Delivery & Return Terms pages.

9. Limitation of Liability

The Service is provided "as is". ProcuSale does not guarantee the accuracy of listings and content or the outcome of tender processes. Without prejudice to obligations arising from applicable law, ProcuSale cannot be held liable for indirect damages arising from User Content or use of the Service.

10. Amendments

ProcuSale reserves the right to amend this Agreement. Amendments take effect on the date they are published on the Platform; Users are informed by appropriate means of material changes. Continued use of the Platform after a change constitutes acceptance of the updated Agreement.

11. Term and Termination

The Agreement remains in force for the duration of the User’s membership. The User may terminate the Agreement at any time by closing their account.

ProcuSale may suspend the account or terminate the agreement if the User breaches this Agreement. Termination does not affect accrued rights and receivables.

12. Dispute Resolution

Turkish law applies to disputes arising from this Agreement. For Users who are consumers, the Consumer Arbitration Committees and Consumer Courts have jurisdiction within the applicable monetary limits; otherwise, the Courts and Enforcement Offices of Izmir have jurisdiction.

13. Entry into Force

This Agreement enters into force when the User registers for or begins using the Platform.
