Distance Sales Agreement

Last updated: July 24, 2026

Article 1 — Parties

This Distance Sales Agreement (the "Agreement") is concluded electronically between the SELLER identified below and the BUYER purchasing the service, in accordance with Turkish Consumer Protection Law No. 6502 and the Regulation on Distance Contracts.

SELLER: ProcuSale Bilgi Teknolojileri Ticaret Anonim Şirketi

Address: Akdeniz Mahallesi, Cumhuriyet Bulvarı, No: 120, Konak, İzmir, Türkiye

Tax Office: Konak Tax Office

E-mail: info@procusale.com — Web: procusale.com

BUYER: The natural or legal person purchasing the service via procusale.com and app.procusale.com, identified by the name/title, address, e-mail and payment details provided at checkout.

Article 2 — Subject

The subject of this Agreement is to define the rights and obligations of the parties regarding the sale and provision of the digital subscription / usage package service purchased electronically by the BUYER through the ProcuSale platform, whose characteristics and price are set out below.

Article 3 — Characteristics and Price of the Service

ProcuSale is a cloud-based digital service offering aggregation, search, filtering, smart matching and notifications for public and private tender opportunities. The service does not involve delivery of a physical product.

The name, scope, term (monthly/annual) and current price of the purchased package are clearly displayed to the BUYER on the app.procusale.com checkout screen at the time of purchase. All stated prices include Value Added Tax (VAT).

The package content and price shown at checkout form an integral part of this Agreement together with the order summary approved by the BUYER.

Article 4 — Payment

Payments are collected securely via the licensed payment institution iyzico by credit card, debit card or other offered methods. The SELLER does not store the BUYER’s card details.

Upon successful payment, an order confirmation and invoice are sent to the e-mail address provided by the BUYER.

Article 5 — Performance (Delivery)

The service is digital and involves no physical shipment. The relevant subscription/usage entitlement is assigned to the BUYER’s account and access begins immediately once payment is approved.

If access cannot be provided due to a technical issue, the BUYER may notify info@procusale.com; the SELLER will restore access within a reasonable time or refund the amount under Article 6.

Article 6 — Right of Withdrawal and its Exception

As a rule, the BUYER has the right to withdraw from a distance contract within fourteen (14) days of delivery without giving any reason.

However, under Article 15 of the Regulation on Distance Contracts, the right of withdrawal does not apply to contracts for the supply of intangible (digital) content performed instantly in electronic form, where performance has begun with the BUYER’s explicit consent.

Since the BUYER explicitly requests and accepts immediate access to the service at checkout, the BUYER acknowledges that no right of withdrawal exists for the digital service once performance has begun. Nevertheless, the SELLER applies the refund conditions in Article 7 in good faith.

Article 7 — Refund Conditions

Without prejudice to the exception to the right of withdrawal, a refund is considered upon the BUYER’s request in the following cases:

  • The service has never been accessed (the entitlement assigned to the account has not been used) and 14 days have not passed since purchase,
  • Technical access problems attributable to the SELLER that cannot be resolved within a reasonable time,
  • Duplicate/erroneous payment for the same service.

Article 8 — Refund Process

Refund requests are sent to info@procusale.com. Approved refunds are made via iyzico to the payment method used by the BUYER within fourteen (14) days at the latest from approval of the request, excluding bank-side reflection times.

Article 9 — Dispute Resolution

For disputes arising from this Agreement, the Consumer Arbitration Committees and Consumer Courts at the BUYER’s place of residence have jurisdiction, within the monetary limits announced by the Ministry of Trade.

Article 10 — Entry into Force

This Agreement enters into force when the BUYER reads and electronically approves all of its terms at the payment step. A copy is sent to the BUYER’s e-mail address.
